Terms and Conditions for Advintek E-Invoicing Connector

These Terms and Conditions (“Terms”) govern your use of the Advintek E-Invoicing Connector (“the Service”), an integration developed by Advintek (“we,” “us,” or “our”) for the Zoho Marketplace. By installing and using this extension, you (“the User” or “the Organization”) agree to be bound by these Terms.1.
1. DEFINITIONS AND SCOPE OF SERVICE
1.1. The Service: The “Advintek E-Invoicing Connector” is a software-as-a-service (SaaS) integration that acts as an intermediary. It facilitates the extraction of digital financial records from Zoho Books and coordinates their submission to the Inland Revenue Board of Malaysia (LHDN) via the MyInvois API.
1.2. Scope: The Service includes data mapping, XML/JSON transformation, digital signature application, transmission to LHDN, and the retrieval of Validation Receipts (including UUIDs and QR codes).
2. INTELLECTUAL PROPERTY RIGHTS
2.1. Ownership: All rights, title, and interest in and to the Service, including but not limited to all software code, scripts, interfaces, documentation, trade secrets, and logos, are the sole and exclusive property of Advintek.
2.2. License Grant: Subject to compliance with these Terms, Advintek grants the User a limited, non-exclusive, non-transferable, and revocable license to use the Service. This license is granted solely for the User’s internal business operations.
2.3. Restrictions: The User shall not:
Copy, modify, or create derivative works of the integration.
Reverse engineer, decompile, or attempt to extract the source code.
Use the Service to build a competitive product.
Remove or obscure any copyright or proprietary notices.
3. DATA ACCESS, USAGE, AND RETENTION
3.1. Data Access: To function, the Service requires read/write access to your Zoho Books environment. This includes:
Entity Data: Business registration numbers, SST/GST status, and addresses.
Transactional Data: Details of Invoices, Credit Notes, and Debit Notes.
Customer Data: Buyer Tax Identification Numbers (TIN) and contact info.
3.2. Purpose of Use: Advintek processes this data strictly to fulfill e-invoicing requirements. We do not sell, share, or monetize your financial data for any third-party marketing purposes.
3.3. Data Retention: Data is retained only for audit, compliance, and status tracking purposes and will not be stored beyond the period required by applicable laws and regulatory obligations. Note: While the Service maintains a log of submissions for your convenience, the User remains the primary custodian of their financial records as required by the Malaysian Income Tax Act 1967.
4. USER OBLIGATIONS AND COMPLIANCE
4.1. Data Integrity: The User is responsible for the accuracy of all information entered into Zoho Books. Advintek does not audit the truthfulness of the financial figures or tax codes provided.
4.2. Regulatory Compliance: The User must ensure they are registered with LHDN and possess the necessary digital certificates or Client IDs required for MyInvois authentication.
4.3. Account Security: The User is responsible for maintaining the confidentiality of their Zoho and Advintek credentials. Any action taken through the User’s account is deemed to be authorized by the User.
5. WARRANTIES AND LIMITATION OF LIABILITY
5.1. “As-Is” Basis: The Service is provided “as is” and “as available.” Advintek makes no warranties that the Service will be uninterrupted or 100% error-free, particularly regarding the uptime of government-hosted portals (LHDN).
5.2. Liability Cap: To the maximum extent permitted by law, Advintek’s total liability for any claim arising out of this Agreement shall not exceed the total amount paid by the User for the Service in the six (6) months preceding the event.
5.3. Exclusions: Advintek shall not be liable for:
Rejections or fines from LHDN due to incorrect data entry.
System outages caused by Zoho, LHDN, or internet infrastructure.
Indirect, incidental, or consequential damages (e.g., loss of profit).
6. TERM AND TERMINATION
6.1. Termination by User: You may cease using the Service at any time by uninstalling the connector from Zoho Marketplace and canceling any associated subscription.
6.2. Termination by Advintek: We reserve the right to suspend or terminate access immediately if:
You breach any material term of this Agreement.
You fail to pay applicable subscription fees.
Continued use poses a security risk to the Service.
7. GOVERNING LAW AND DISPUTE RESOLUTION
7.1. Governing Law: These Terms shall be governed and construed in accordance with the laws of Malaysia, without regard to its conflict of law principles.
7.2. Jurisdiction: Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts located in Malaysia.
8. CHANGES TO THESE TERMS
Advintek reserves the right to modify or update these Terms at any time to reflect changes in the law or the Service. Updated versions will be published on our website or within the Zoho Marketplace listing. Continued use of the Service after such changes constitutes acceptance of the revised Terms.
